General Terms and Conditions

These General Terms and Conditions ("Marketplace Terms") apply to vendors, buyers and other users of the RMGShare marketplace. They supplement the RMGShare Terms of Service. If a matter concerns a marketplace transaction, these Marketplace Terms apply first.

1. RMGShare's role

RMGShare provides a digital venue where independent vendors can present fire-safety, PPE, emergency, first-aid and related products or services to prospective buyers. Unless a listing or invoice expressly names RMGShare as the seller, the contract for sale is between the buyer and the vendor. RMGShare is not the manufacturer, importer, installer or seller of an independent vendor's product.

2. Vendor onboarding and verification

• Vendors must provide accurate identity, contact, business, address and product information and keep it updated.
• RMGShare may request trade licences, tax information, authorisations, test certificates, product approvals, warranty documents or other evidence before or after activation.
• "Verified" means that specified information or documents were reviewed at a particular time. It is not a guarantee of every product, future conduct, solvency, delivery or legal compliance.
• RMGShare may refuse, suspend or remove a store or listing that cannot be adequately verified or presents safety, legal, counterfeit or reputational risk.

3. Product listings

The vendor is responsible for ensuring each listing is lawful, accurate and not misleading. Listings should clearly state the product name, model, condition, quantity or unit, price, stock, specifications, applicable standard or certification, warranty, installation requirements, delivery charges and material limitations. Product photos must represent the actual product or be clearly identified as illustrative.

Claims such as UL Listed, FM Approved, EN certified, BNBC compliant, NFPA compliant, RSC accepted or equivalent must be supported by authentic and product-specific evidence. A standard reference must not imply approval that the product does not hold.

4. Prices, stock and quotations

Displayed prices and stock may change before an order is accepted. The vendor must disclose taxes, transport, installation, testing or other charges before confirmation. If the Platform is used only to request a quotation or make an enquiry, no purchase contract exists until the buyer and vendor agree the final scope, price and terms.

5. Orders and contract formation

An order request is an offer by the buyer. A binding sale is formed only when the responsible seller accepts the order or issues an order confirmation/invoice, unless applicable law provides otherwise. The seller may reject an order for genuine stock, verification, delivery, pricing or legal reasons and must promptly communicate the reason and arrange any required refund.

6. Payment

Buyers should pay only through the method identified in the confirmed order or invoice and retain proof. A vendor must not request unlawful, deceptive or undisclosed payments. Where a third-party payment service is used, its terms also apply. RMGShare is not responsible for a payment made outside an approved or documented channel.

7. Delivery and risk

Delivery dates shown in a listing or communication are estimates unless expressly guaranteed in writing. The seller must provide reasonable progress information, suitable packaging and accurate delivery records. Risk and title pass as stated in the accepted order or applicable law. Buyers should inspect the shipment promptly and record visible shortage or damage with the delivery person where possible.

8. Cancellation, returns and refunds

• Before seller acceptance, a buyer may request cancellation unless processing or custom work has already begun.
• Wrong, damaged, defective, counterfeit, unsafe or materially misdescribed products may be rejected or returned subject to applicable law and reasonable verification.
• The buyer should notify the seller promptly, keep packaging and evidence, and avoid using a product where use could create safety risk or prevent inspection.
• Custom-made, configured, installed, opened consumable or hygiene-sensitive items may have limited return rights if this was clearly disclosed, except where the item is defective, unsafe, counterfeit or mandatory law requires a remedy.
• Approved refunds should be made through the original or another agreed lawful payment method within the disclosed or legally required time.

9. Warranty, installation and safety-critical products

The seller must honour the warranty and after-sales commitments stated in the listing, quotation, manufacturer documents or law. Products requiring design, hydraulic calculation, programming, commissioning, installation or periodic maintenance must be handled by competent persons. The buyer is responsible for confirming site suitability, while the vendor remains responsible for accurate product and service claims.

10. Buyer responsibilities

Buyers must provide accurate contact and delivery details, review specifications before confirmation, use products according to manufacturer instructions, obtain required approvals, and avoid fraudulent chargebacks, abusive conduct or misuse of seller information.

11. Vendor responsibilities

Vendors must hold required permissions and registrations, supply authentic and lawful products, issue appropriate quotations/invoices, protect buyer data, meet disclosed delivery and warranty commitments, cooperate with complaints and recalls, and promptly inform RMGShare of a safety defect, counterfeit concern, legal notice or product recall.

12. Prohibited items and conduct

Counterfeit, stolen, recalled, illegally imported, expired, tampered, unsafe or falsely certified products are prohibited. Vendors must not manipulate reviews, mislead users, copy another seller's content without permission, move a transaction off-platform to evade an agreed Platform fee, or use buyer data for unrelated marketing without permission.

13. Reviews, moderation and enforcement

Reviews must reflect genuine experience. RMGShare may moderate listings, reviews and accounts and may request evidence, pause a listing, notify affected users, cooperate with authorities or remove content. Moderation does not transfer the seller's responsibility to RMGShare.

14. Complaints and disputes

Buyers should first contact the vendor with the order details and evidence. Either party may contact contact@rmgshare.com for reasonable platform assistance. RMGShare may facilitate communication but is not required to decide technical or legal liability between independent parties. Statutory consumer complaints and remedies remain available.

15. Force majeure

A party is not responsible for delay caused by events reasonably beyond its control, such as natural disaster, civil disturbance, government restriction, epidemic, transport shutdown, major utility failure or network outage, provided it promptly informs the other party and takes reasonable steps to reduce the impact. Payment already due and obligations that can still reasonably be performed are not automatically cancelled.

16. Applicable framework

Marketplace activity must comply with applicable Bangladesh law, including consumer-protection and digital-commerce requirements. Official references include the Consumers' Right Protection Act, 2009 and the Digital Commerce Operation Guidelines, 2021.
